CHOOSE A LEGAL STRUCTURE

 

Before starting a business, a business owner must choose the legal structure to use for the business.

For information on the different types of business structures, select the CHOOSE YOUR BUSINESS STRUCTURE link, which will take you to the U.S. Small Business Administration web page.

 

Legal structures include:

  • SOLE PROPRIETORSHIP;
  • PARTNERSHIPS; General Partnership, Limited Liability Partnership (LLP), Limited Liability Limited Partnership (LLLP);
  • CORPORATIONS; and
  • LIMITED LIABILITY COMPANY (LLC).

NOTE:

  1. 1. Registration with the New Mexico Secretary of State is required for: Limited Liability Company, Corporation, S Corporation, and Limited Partnerships.
  2. 2. Registration with the New Mexico Secretary of State is NOT required for: Sole Proprietorship and General Partnerships.
  3. 3. The process of registering a Corporation or a S Corporation with the New Mexico Secretary of State is the same.
