Before starting a business, a business owner must choose the legal structure to use for the business.

Legal structures include:

• SOLE PROPRIETORSHIP;
• PARTNERSHIPS; General Partnership, Limited Liability Partnership (LLP), Limited Liability Limited Partnership (LLLP);
• CORPORATIONS; and
• LIMITED LIABILITY COMPANY (LLC).

NOTE:

1. 1. Registration with the New Mexico Secretary of State is required for: Limited Liability Company, Corporation, S Corporation, and Limited Partnerships.
2. 2. Registration with the New Mexico Secretary of State is NOT required for: Sole Proprietorship and General Partnerships.
3. 3. The process of registering a Corporation or a S Corporation with the New Mexico Secretary of State is the same.
